PH8122R: ASSOCIATE COUNSEL/PROCUREMENT: TEMP/FT

Our corporate client is currently seeking a TEMPORARY/FT Associate Counsel to join its collegial Law Department in the northwest Philadelphia suburbs. This TEMPORARY FULL-TIME position will provide legal support and counsel to our client and its subsidiaries in the review and negotiation of various contracts related to procurement, supply chain, construction, fleet, and distribution. Anticipated duration: 2 – 3 months. THIS IS AN IMMEDIATE NEED!

Key Responsibilities:
• Develop a thorough understanding of the Company’s products, services, customers, and business model to assist the Company in meeting its business objectives in a legal, safe and compliant manner.
• Build strong relationships with Company executives, become an essential part of the Global Procurement group, and assist other internal clients as needed.
• Review, draft and negotiate a broad range of commercial contracts, including but not limited to supplier, customer, distributor, professional services, confidentiality, construction and license agreements.
Provide necessary legal support to the Global Procurement team during competitive sourcing process.
• Escalate, as appropriate, legal and business issues that arise during contract negotiations.
Draft and manage standard contract forms and templates.
• Perform all other duties and special projects as assigned.

 

Education and Experience Required:
• JD from a top law school.
• Member of a state bar (preferably Pennsylvania) in good standing.
Minimum of 3 years of combined experience practicing in general corporate law and commercial transactions at an in-house legal department or a large law firm.
• The candidate must have demonstrated experience in structuring, drafting and negotiating a wide range of complex supplier and other third-party agreements.
• Basic understanding of privacy issues (e.g., CCPA, GDPR) and experience negotiating data privacy agreements are preferred.
• Specific experience with energy matters, construction, and/or technology transactions is a strong plus.

• Balancing business needs while ensuring contractual terms and conditions protect the Company and minimize risk.
• Ability to analyze complex legal issues and provide recommendations for practical solutions and alternatives.
• Excellent interpersonal and communication skills to support senior management and operations personnel, and ability to effectively collaborate with others.
Detail-orientation and ability to manage multiple contracts and projects simultaneously in a fast-paced and high-output environment.
• Strong work ethic, personal accountability and initiative.
• Commitment to personal growth and development by actively seeking feedback and responding with action.

Working conditions:
• 100 % work remotely. Occasional on-site meeting might be asked.
